The framework defines how we work together.
The VECTARYS Strategic Partner Framework establishes the principles, expectations and conditions governing strategic partner relationships.
It provides a common basis for collaboration between VECTARYS and qualified professionals who contribute market knowledge, relationships, opportunity identification and relevant introductions.
The framework is designed to keep the relationship clear, professional and aligned with the standards expected by VECTARYS and its clients.
A framework for serious collaboration.
Strategic partnerships exist to connect VECTARYS engineering capabilities with relevant opportunities, organizations and markets.
The Strategic Partner Framework defines the principles under which these relationships may be established and developed.
It is intended to create clarity around roles, responsibilities, opportunity development, commercial relationships and professional conduct.
The framework does not replace an individual collaboration agreement. Specific commercial conditions, responsibilities and deliverables are established according to the nature of each relationship and opportunity.
Partnership begins with relevance.
VECTARYS selects strategic partners based on professional credibility, market knowledge, relationships and the potential to identify meaningful opportunities.
A demonstrated understanding of a relevant industry, geography, institutional environment or professional ecosystem.
Established relationships with companies, executives, entrepreneurs, institutions, investors, public organizations or other relevant decision-makers.
A professional reputation and conduct compatible with the standards expected by VECTARYS and its clients.
The ability to recognize situations where VECTARYS engineering capabilities may address a genuine technological, operational or strategic need.
Identify. Connect. Develop.
A strategic partner contributes market intelligence and relationships rather than replacing the VECTARYS engineering function.
Recognize relevant organizations, situations and opportunities where VECTARYS capabilities may create value.
Establish relevant and legitimate introductions between VECTARYS and appropriate organizations or decision-makers.
Support the development of the relationship as an opportunity progresses, while respecting the roles of VECTARYS and the client.
Once an opportunity becomes technically relevant, VECTARYS assumes responsibility for understanding the problem, defining the engineering approach and developing the appropriate system or service.
Engineering remains at the core.
VECTARYS retains responsibility for its engineering work, technical decisions and delivery commitments.
VECTARYS evaluates the technical relevance of opportunities introduced through the partner network and determines whether an engagement is appropriate.
VECTARYS is responsible for defining the engineering scope, technical architecture, implementation approach and delivery relationship with the client.
Strategic partners do not represent themselves as technical representatives of VECTARYS unless expressly authorized to do so.
A structured path from opportunity to engagement.
The partner identifies an organization, situation or requirement that may be relevant to VECTARYS.
The opportunity is discussed with VECTARYS to determine strategic, commercial and technical relevance.
Where appropriate, the partner facilitates a relevant introduction between VECTARYS and the organization concerned.
VECTARYS and the partner coordinate their respective roles as the relationship develops.
If the opportunity results in a commercial engagement, the applicable partner conditions are determined according to the agreed framework and collaboration agreement.
Clear attribution supports fair collaboration.
Commercial attribution must reflect the documented origin, qualification and development of an opportunity.
Opportunity attribution is assessed by VECTARYS based on the documented origin, qualification and development of the opportunity, including the partner's contribution and the existing relationship history.
Where an opportunity has already been identified, introduced or developed through another relationship or channel, VECTARYS may determine that no additional attribution applies. The basis for such determination may be communicated to the partner where appropriate.
Specific attribution rules and any applicable opportunity protection are established, where appropriate, in the individual collaboration agreement.
Value should be connected to results.
Strategic partner collaboration is based on qualified opportunities and measurable commercial outcomes.
Partner compensation is commission-based and tied to successful commercial outcomes.
Where compensation applies, commission is linked to contracts attributable to the partner's qualified opportunity and resulting commercial engagement with VECTARYS.
The applicable commission rate, payment conditions, attribution rules and other economic terms are defined in the individual collaboration agreement.
No compensation is due merely for introducing a contact unless expressly agreed otherwise in writing.
VECTARYS does not guarantee a commercial outcome for any opportunity introduced by a strategic partner.
Trust is a condition of collaboration.
Strategic partnerships must operate with transparency, professional integrity and respect for applicable laws and regulations.
VECTARYS applies a zero-tolerance policy towards corruption, bribery, improper payments, kickbacks and undisclosed conflicts of interest.
Partners must not offer, request or accept improper payments, undisclosed commissions, kickbacks or other benefits intended to improperly influence a decision.
Potential conflicts of interest must be disclosed to VECTARYS whenever they could affect the integrity or independence of a relationship.
Partners must accurately represent their relationship with VECTARYS and must not make unauthorized commitments on behalf of the company.
Where an opportunity involves public officials, public institutions or state-owned organizations, partners must comply with applicable laws and must not offer, promise, authorize or provide anything of improper value in connection with the relationship.
Personal data exchanged in the context of a strategic partner relationship must be handled in accordance with applicable data protection laws and VECTARYS' Privacy Policy.
Partners must comply with applicable international sanctions, trade restrictions and export control regulations in connection with any opportunity or engagement.
Confidential information received through the relationship must be protected and used only for legitimate purposes connected to the collaboration.
VECTARYS reserves the right to discontinue a strategic partner relationship where conduct is inconsistent with these principles or with applicable law.
Information must remain controlled.
Strategic partner relationships may involve commercially sensitive, technical or organizational information.
Partners are expected to treat non-public information received from VECTARYS or its clients as confidential and to use it only for legitimate collaboration purposes.
Specific confidentiality obligations may be established through a separate confidentiality agreement or within the applicable collaboration agreement.
Clear roles. Clear boundaries.
Strategic partners remain independent professionals or organizations unless a separate contractual relationship establishes otherwise.
Participation in the VECTARYS Strategic Partner Network does not create an employment relationship, agency relationship, joint venture, partnership or authority to legally bind VECTARYS unless expressly established in writing.
Partners may not make technical, financial, contractual or other commitments on behalf of VECTARYS without prior written authorization.
Built for long-term value.
The objective is not to maximize the number of partners. It is to develop a trusted network capable of creating meaningful opportunities over time.
VECTARYS evaluates strategic partner relationships continuously and may expand, refine or discontinue relationships according to market relevance, performance, conduct and strategic priorities.
Strong relationships are built through consistency, transparency, professional judgment and mutual respect.
The framework establishes the principles. The agreement defines the relationship.
Specific conditions are established according to the nature of the relationship, opportunity and applicable requirements.
Where appropriate, the individual collaboration agreement may define the scope of collaboration, territory, duration, termination conditions, exclusivity, opportunity attribution or protection, commission structure, payment conditions, confidentiality, intellectual property, compliance obligations and reporting requirements.
These conditions are agreed directly between the parties and are not automatically created by participation in the VECTARYS Strategic Partner Network.
A public framework.
Individual agreements govern the details.
This public framework establishes the general principles governing VECTARYS strategic partner relationships.
Where an individual agreement contains provisions that differ from this public framework, the signed agreement governs the relationship between the parties.
This framework is provided as a public reference and does not by itself create a contractual relationship, commercial entitlement or obligation between VECTARYS and any individual or organization.
